TRANSACTION PROCEDURE:

1.

The Receiver will issue draft of this Agreement for attention of the Sender and within 48 hours Sender will confirm that he agreed for the procedures and two parties sign contract.

2.

After signed the DOA, the Receiver shall instruct the receiving bank to send POF via the swift MT199 to the Receiver's bank for the value of Euro 50,000,000.00(Fifty Million Euro) equivalent to price as 10+1%(Sender share 10%+ sender side commissions 1%), Euro --,000,000.00(-----Million Euro) (format as per appendix “1”), and provide courtesy copy via email to Sender

3.

Within two banking day after sender receiving POF via MT199 from receiver, the Sender shall instruct the sending bank to send PRE-ADVISE via Swift MT799 of MT103 one way to the receiving bank

4.

Within two banking day after receiver receiving PRE-ADVISE, the receiver shall instruct the receiving bank to send BPU via MT799 as a payment guarantees to sending bank.

5.

Within two banking days after receiving BPU, the Sender shall instruct the issuing bank to send the swift MT103 one way to the Receiver's nominated bank for the value of Euro 50,000,000.00(Fifty Million Euro equivalent to

The Sender will send the SWIFT MT 103 one way transmission copy by email to the Receiver within 48 hours from the moment of the SWIFT MT103 one way was issued.

7.

Within One (1) Banking Day the Receiver informs the receipt of the MT 103 and sends the acknowledgment of the same via email, to the Sender or his representative/s. The Sender`s representative shall also be allowed to the receipt by the receipt of the Swift MT 103 by ing the receiver`s nominated bank officer via Email/Telephone or via personal . Failure to effect any of these shall cause the immediate “cancellation” of the Swift MT 103.

The Receiver verifies the SWIFT MT103 instrument within Three (3) Banking Days after the Sender Notifies by email the Receiver with copy of the swift transmission that the SWIFT MT103 arrived to the Receiver's bank . If the receiver fails to and to notify the same to the send within (3) banking days, it will automatically cause the “ cancellation” of the Swift MT103.

DISPUTE CASE: if RECEIVER claims non receipt of the SWIFT MT103 Financial Instrument by the RECEIVING bank within One (1) Banking Day he has to provide official bank letter stating non-receipt PLUS screen shot from receiving bank computer (high resolution) showing the request of receiving bank info system with appropriate negative answer of the system otherwise SWIFT MT103 Financial Instrument will be considered as received.

10. If the RECEIVER verifies MT103 one way positive, releases the block funds . THE RECEIVER shall effect the payment of 10%of face value within 3 (Three) banking days after the receipt of the swift MT 103 one way transmission by receiver's bank (10%to the PROVIDER and 2% to the Intermediaries according to the IMFPA outlined in Appendix 2 hereto). Such payment will be effected by SWIFT MT103/TT wire transfer. If receiver fails to effect payment of 10% (10+2) of face value of the MT103, within and not later than 3 working days of the receipt of the MT103 by receiver's bank, PROVIDER shall cause the issuing bank to deactivate the SWIFT MT103 and to become null and void thereby resulting to a cancellation and start of litigation for non-performance.

11. Any unauthorized communication or probing for information to any of the involved banks in this transaction by any party or its respective representatives, s, or attorneys is strictly prohibited. A breach of this rule will lead to the immediate termination of this contract.

NON-SOLICITATION The RECEIVER hereby confirms and declares that the SENDER, its associates or representatives or any person or persons on its behalf has/have never ever solicited the RECEIVER, its shareholders or associates or representatives in any way whatsoever that can be construed as a solicitation for this transaction or for future transactions. FORCE MAJEURE Any delay in or failure of performance by either party of their respective obligations under this agreement shall not constitute a breach hereunder or give rise to any claims for damages if, and to the extent that such delays or failures in performance are caused by events or circumstance beyond the control of such party. The term “Beyond the Control of Such Party “Include Lawful order of Government or Authority, Act of War, Rebellion or Sabotage, Fire, Flood, Earthquake or other natural disasters. Any other cause not within the control of such party or which is by exercise of reasonable diligence, the party will be unable to foresee or prevent or remedy. ARBITRATION All disputes and questions whatsoever which arises between the parties to this agreement and touching on this agreement on the construction or application thereof or any cost, liability to be made hereunder or as to any act or way relating to this agreement shall be settled by the arbitration in accordance with the arbitration laws of the ICC.

FEE PROTECTION AGREEMENT Both SENDER and RECEIVER agree that the RECEIVER’s and SENDER's agents are entitled to 3% of the *MT103 ONE WAY face value commission fees. These commission fees will be shared between the SENDER’s and RECEIVER’s agents as specified here below.
